adjustment for changes in working capital. Desert is a Houston-based provider of
non-destructive testing (“NDT”) services
for new oil and gas gathering pipelines
and infrastructure integrity management
services. Desert operates through 18
branches located in major U.S. oil and gas
basins. The acquisition was funded with
cash and through available revolving
credit facilities. Post-closing, ShawCor
may consider raising equity to repay a
portion of its outstanding revolving debt.
The transaction is expected to be accretive to ShawCor’s earnings per share
within the next 12 months.

Association
Axalta Coating Systems has received the
Best Employer in Russia award from the
Russian Business Captains Association at
the annual Human Resources Ceremony
held in Moscow in May 2014. The judging panel, made up of a team of experts
from leading consulting companies and
HR experts, chose Axalta in Russia from
among 200 nominated companies.
Collectively, Axalta in Russia and its
joint venture - Axalta Russian Coatings,
LLC – in Yaroslavl, Russia, employ more
than 140 people; most are based at its offices in Moscow while some representatives are located in Saint Petersburg and
Yekaterinburg. In addition to serving
customers in Russia, the company has
liquid, industrial and powder coating
business customers in Ukraine, Belarus
and Kazakhstan. Its joint venture focuses
on automotive OEM. Axalta in Russia

California Products Acquires
Muralo Paint Brands
California Products Corporation, a
Delos Management portfolio compa-
ny, has acquired certain assets of The
Muralo Paint Company. Muralo Paints,
founded in 1894 and headquartered
in Bayonne, New Jersey manufac-
tures paints and coatings that are sold
through paint retailers in over 20 states.
The acquisition includes certain Muralo
and Graham brands and product lines
including Spackle, Adhesium and other
associated lines.
The acquisition of the Muralo Paint
brands offers California Paints many op-
portunities for expanding its brands and
product lines while reinforcing its long-
term commitment to its employees and
customers. “This acquisition provides
an opportunity to leverage our skilled
workforce and state of the art manu-
facturing facility,” states California
Products’ Chairman and CEO Peter
Longo. “This transaction offers a stra-
tegic fit that will add complementary
products, brands, and geographies. We
